Non-disclosure Agreement

This Non-Disclosure Agreement (the "Agreement") is made between the disclosing party (Cooky), and the receiving party (you), any individual or organization who receives confidential information from Cooky.

  • Definition of Confidential Information: For the purposes of this Agreement, "Confidential Information" shall mean any and all technical and non-technical information disclosed by Cooky to the receiving party that is marked as confidential or proprietary or that, due to its nature or the circumstances of its disclosure, should reasonably be considered confidential. Confidential Information includes but is not limited to product plans, designs, prototypes, software code, trade secrets, business operations, financial information, and customer information.
  • Confidentiality Obligations: The receiving party agrees to maintain the confidentiality of the Confidential Information and not to disclose such information to any third party without Cooky's prior written consent, except to the receiving party's employees or contractors who have a need to know such information in connection with their work for the receiving party and who are bound by confidentiality obligations at least as restrictive as those set forth in this Agreement.
  • Protection of Confidential Information: The receiving party shall protect the Confidential Information from unauthorized use, access, or disclosure using at least the same degree of care that it uses to protect its own confidential information of a similar nature, but no less than reasonable care.
  • Term and Termination: The obligations of confidentiality under this Agreement shall survive the termination or expiration of any business relationship between the parties for a period of 24 months.
  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflicts of laws principles.

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether oral or written. This Agreement may be executed in counterparts and may be delivered by facsimile or electronic transmission, which shall be deemed an original for all purposes.

Cooky and the receiving party (you), hereby acknowledge that they have read this Agreement and understand and agree to its terms and conditions.
